一、国外公司注册驻上海代表机构所需基本条件：

    The essential conditions for a foreign enterprise to apply for the establishment of a resident representative office in Shanghai are as follows:

    一、该国外公司必须在所在国合法注册；

    二、该外国企业必须具有良好的商业信誉；

    三、该外国企业必须提供真实可靠的本实施细则规定的各类材料；

    (1) The foreign enterprise has to be legally registered in its country;

    (2) The foreign enterprise must be of good commercial reputation;

    (3) The foreign enterprise must provide the authentic and reliable materials and documents according by this notification.

    二、注册上海代表处所需时间和要求：

    The time and requirements for a foreign enterprise applying for the establishment of a resident representative office in Shanghai are as follows:

    一、外国企业申请在中华人民共和国境内设立常驻代表机构，须先向上海市工商局提出网上申请，工商局对其申请进行审查，在5个工作日内做出批准或不予批准的决定，并在网上公布结果。得到批准的企业，再向工商局提出书面申请，工商局于10个工作日后颁发代表机构登记证。其他政府机构办理各种证照约需要15个工作日。

    When an enterprise wants to establish a representative office in Shanghai, it should apply to Shanghai Administration of Industry and Commerce on its website for prejudication first. It will approve or overrule the application in 5 working days. The approved enterprise should apply to the Administration formally. 10 working days later, the Administration will give Business Registry to the company. And processing other registries by other administrations will spend about 15 working days.

    二、外国企业申请设立常驻代表机构必须委托一家经中华人民共和国政府主管部门批准的、具有相关资质的公司作为承办单位，由承办单位代外国企业向审批机关报送各类材料，办理申报手续。

    If a foreign enterprise wants to apply for a representative office in China, it has to entrust an agency which is approved by the competent authorities of government for submitting all documents to government.

    三、在上海设立常驻代表机构所需材料

    The documents for establishing a representative office in Shanghai:

    (一)  申请书 (由公司董事长或总经理签名)

    Application Letter (signed by chairman of the foreign enterprise)

    申请书内容如下:

    Content as follow:

    1)常驻代表机构的名称/ the name of representative office;

    2)首席代表机构人员名单（首席代表、代表）/ list of chief representative and representatives;

    3)企业简况,设立常驻代表机构的目的.业务范围/ brief introduction of the foreign enterprise, purpose of establishing this representative office, business scope of this representative office,
    4)办公地址/ office address

    5)驻在期限/ residence period

    (二)代表任命书 (由公司董事长或执行董事签名)

    Application of chief representative and representatives (signed by chairman of the foreign enterprise);

    如董事长任首席代表或代表，其授权书必须由该企业董事会两名以上董事签署

    If chairman is also the representative of the office, the application has to be signed by more than two directors
